Company ek separate legal person hoti hai – yeh basic principle hai. Lekin kabhi-kabhi log company ka corporate veil use karke fraud, evasion ya wrongdoing chhupane ki koshish karte hain. Aise cases me courts “veil lift” karke dekhte hain ki actual control aur benefit kis ke paas tha.

Lifting the veil usually exceptional remedy hai, routine nahi. Use situations jahan:

  • Company sirf sham ya facade ho,
  • Taxes, statutory dues ya creditors ko cheat karne ke liye structure banaya gaya ho,
  • Director/shareholder personal fraud commit kare aur liability se bachne ko company ka shield use kare,
  • Group companies ke beech asset shifting se recovery impossible banaya ja raha ho.

Jab veil lift hota hai, individuals – promoters, directors, parent entities – personally liable ho sakte hain. Courts dekhte hai ki kya corporate structure genuine business purpose serve kar raha tha, ya sirf nakab tha.

Is doctrine ka message simple hai: limited liability privilege hai, weapon nahi. Agar aap company ke peeche chhup ke intentional wrongdoing karoge, to law aapko as “real actor” treat karega.
